On December, 31st, 2006 the shares of joining OJSC “Krasnoyarsk Generation” and OJSC “TGC-13” were converted into additional issue of shares of OJSC “Yenisei TGC (TGC-13)” at the following rate:
146,0356 of ordinary shares of OJSC “Krasnoyarsk Generation” at par value RUR 1,25 each were converted into 1 additional ordinary share of OJSC “Yenisei TGC (TGC-13)” at par value RUR 226,42.
159,462 preference shares of OJSC “Krasnoyarsk Generation” at par value 1,25 rubles each were converted into 1 additional ordinary share of OJSC “Yenisei TGC (TGC-13)” at par value RUR 226,42.
382,970.272 ordinary shares of OJSC “Territorial Generation Company ¹13” at par value 0.01 rubles each were converted into 1 additional ordinary share of OJSC “Yenisei TGC (TGC-13)” at par value RUR 226.42.
On February 13th, 2007 the report on the results of additional share issues of OJSC “Yenisei TGC (TGC-13)” was registered.
On February 28th, 2007 changes in the Charter related to the increase of the authorized capital of OJSC “Yenisei TGC (TGC-13)” were made.
On May 17th, 2007 the Extraordinary Meeting of Shareholders of OJSC “Yenisey TGC ( TGC-13)” passed the resolution on the increase in the Company charter capital by placement of 248,361 additional ordinary registered shares.
On August 16th, 2007 the Federal Service for Financial Markets of Russia registered the additional issue of securities of OJSC “Yenisey TGC (TGC-13)” under state registration number: 1-01-55093-E-004D.
On December 13th, 2007, the Federal Service for Financial Markets of Russia registered the report on the results of the additional issues of securities (state registration number: 1-01-55093-E-004D).
On December 27th, 2007, the Federal Service for Financial Markets of Russia registered the issue of securities of OJSC “Yenisey TGC (TGC-13)”, state registration number íîìåð: 1-02-55093-E.
On January 11th, 2008, the conversion took place at splitting of ordinary registered shares of OJSC “Yenisey TGC (TGC-13)”.
Split Coefficient:
One ordinary share of OJSC “Yenisey TGC ( TGC-13)” of nominal value of RUR 226.42 (two hundred twenty six point forty two) each was converted into 22,642 (twenty two thousand six hundred forty two) ordinary shares of OJSC “Yenisey TGC ( TGC-13)” of RUR 0.01 par value each.
On 22 January, 2008, the Federal Service for Financial Markets of Russia registered a Report on the results of the issue of securities of OJSC Yenisei TGC (TGC-13) with state registration number: 1-02-55093-E
On 21 February, 2008, the Federal Service for Financial Markets of Russia registered a Report on the results of the issue of securities of OJSC Yenisei TGC (TGC-13) with state registration number: 1-02-55093-E-001D
On 18 April, 2008, the Federal Service for Financial Markets of Russia received the Notification on the results of the additional issue of the securities
On 22 May, 2008, the Charter went through the amendments, connected with the increase of the authorized capital of OJSC Yenisei TGC (TGC-13) which took place as a result of the additional issue of the securities placement.
On 1 July, 2008 the reorganization of OJSC Yenisei TGC (TGC-13) was completed. It was carried out in the form of OJSC “Yenisei TGC Holding” merging to it. OJSC “Yenisei TGC Holding” was created as a result of JSC “RAO UES” splitting within the program of separation of 20 minority holdings with their simultaneous merging to the target companies.
The balance of each of the minority holdings in accordance with the separation balance sheet of JSC “RAO UES of Russia” got the part of the shares stock of the correspondent target company as well as the part of the other assets of JSC “RAO UES of Russia”.
The amount of the shares stock (32.19515% of shares stock of companies belonging to JSC “RAO UES of Russia”) transited by the separation balance sheet to the minority holdings is correspondent to the joint participation share of the minority shareholders (except for LLC “Gazoenergeticheskaya company”, MMC Norilsk Nickel, MADAKE ENTERPRISES COMPANY LIMITED) in the authorized capital of JSC “OAO RAO UES of Russia” taking in to account the coefficient (= 0.9158) for the preferred shares.
Shares of OJSC “Yenisei TGC Holding” were distributed to each minority shareholder of JSC “RAO UES of Russia” (except for LLC “Gazoenergeticheskaya comapny”, MMC Norilsk Nickel, MADAKE ENTERPRISES COMPANY LIMITED) in proportion to the amount of JSC “RAO UES of Russia” shares belonging to it in the joint amount of shares of JSC “RAO UES of Russia” belonging to the minority shareholders (except for LLC “Gazoenergeticheskaya company”, MMC Norilsk Nickel, MADAKE ENTERPRISES COMPANY LIMITED).
During the merging of OJSC “Yenisei TGC Holding” to OJSC Yenisei TGC (TGC-13) the shares of OJSC “Yenisei TGC Holding” were converted to the shares of OJSC Yenisei TGC (TGC-13) on the basis of the conversion coefficients approved by the General shareholders meeting of OJSC Yenisei TGC (TGC-13) as of October 30, 2007.
0,5802907039863900 ordinary shares of OJSC “Yenisei TGC Holding” were converted to1 ordinary share of OJSC Yenisei TGC (TGC-13) of par value RUR 0.01 (zero point zero one) each;
0,6336434854623160 preferred share of OJSC “Yenisei TGC Holding” were converted to1 ordinary share of OJSC Yenisei TGC (TGC-13) of par value RUR 0.01 (zero point zero one) each;
During the merging to OJSC Yenisei TGC (TGC-13) all the rights and liabilities of OJSC “Yenisei TGC Holding” were transited to it in accordance with the transfer act (the separation balance sheet of JSC “OAO RAO UES of Russia” as of March 30, 2007) containing the regulations concerning the position determination of companies established by means of reorganization in the form of separation as successors of JSC “RAO UES of Russia”.
On 22 July, 2008 the Federal Service for Financial Markets of Russia cancelled the individual number (code) – 001D of the state registration number 1-02-55093-E-001D as of February 21, 2008, attributed to the additional issue of the ordinary registered non-documentary shares of OJSC Yenisei TGC (TGC-13).
