According to the decision of the Board of Directors of OJSC RAO UES of Russia ( Minutes ¹168 dated 23rd April 2004) it was planned initially that OJSC Krasnoyarsk Generation (the company spun off from OJSC Krasnoyarskenergo), OJSC Khakass Generating Company (the company spun off from OJSC Khakassenergo) and OJSC Tyvaenergo (Kyzyl CHP) were to enter into OJSC TGC-13.Realising the Merger Project
June 28, 2005 - state registration of OJSC Territorial Generating Company ¹13 as 100 % subsidiary of OJSC RAO UES of Russia took place.
July 1, 2005 - state registration of OJSC Khakass Generating Company (spun off as a result of reorganization of OJSC Khakassenergo) took place.
October 1, 2005 - state registration of OJSC Krasnoyarsk Generation (spun off as a result of reorganization of OJSC Krasnoyarskenergo).
The decision of The Board of Directors of OJSC RAO UES of Russia ¹200 dated July 29th.2007 approved the scheme of formation of OJSC TGC-13, providing three scenarios:
1. Establishment of the merged company on the basis of OJSC Krasnoyarsk Generation (joining OJSC TGC-13 and OJSC Khakass Generating Company to OJSC Krasnoyarsk generation with the subsequent renaming of OJSC Krasnoyarsk generation as OJSC TGC-13);
2. Establishment of the merged company on the basis of OJSC Khakass Generating Company (Joining OJSC TGC-13 and OJSC Krasnoyarsk Generation to OJSC Khakass Generating Company with the subsequent renaming of OJSC Khakass Generating Company as OJSC TGC-13);
3. Realisation of the project of establishing OJSC TGC-13 as a Holding Company if the decision on reorganisation of the generating companies in the form of combining with OJSC Krasnoyarsk Generation or OJSC Khakass Generating Company is not taken.
November 29, 2005 - the extraordinary general meeting of the shareholders of OJSC Krasnoyarsk Generation in the form of correspondence voting on delegation of powers of the sole executive body of OJSC Krasnoyarsk Generation to the managing company OJSC TGC-13 was held (the Minutes of extraordinary meeting of shareholders of OJSC Krasnoyarsk Generation ¹2 from November 29th 2005)
December, 2005 - Agreements on the delegation of powers of the sole executive body of OJSC Krasnoyarsk Generation (¹01 from December 28th 2005) and OJSC Khakass Generating Company (¹02 from December 28th 2005) were signed. According to the certificate of transfer of affairs dated January 1st 2006 OJSC TGC-13 carries out the functions of the sole executive body of OJSC Krasnoyarsk Generation and OJSC Khakass Generating Company since January 1, 2006.
August 18, 2006 - the extraordinary general meeting of the shareholders of OJSC Krasnoyarsk Generation took place (Minutes ¹3 from August 18th .2006). On August, 28th, 2006 the meeting of the Management Board of RAO UES of Russia, executing the functions of the general meeting of shareholders of its 100 % subsidiaries OJSC TGC-13 and OJSC Khakass Generating Company was held (an extract from the RAO UES of Russia Management Board meeting 1522 Min/6 and 1522 Min/ 7 both dated August 28thc2006).
The shareholders meetings adopted the reorganisation scheme for OJSC Krasnoyarsk Generation and OJSC TGC-13 in the form of combining them with OJSC Khakass Generating Company, by a majority of votes.
In October, 2006 the Board of Directors of OJSC Khakass Generating Company decided to establish the following branches and representative offices:
• Nazarovo GRES
• Kansk CHP
• Minusinsk CHP
• Krasnoyarsk CHP-1
• Krasnoyarsk CHP-2
• Krasnoyarsk CHP-3
• Sosnovoborsk CHP
• Krasnoyarsk Heating system
• Moscow Representaton
At the moment of making the decision on establishing branches and representative offices by the Board of Directors, the OJSC Khakass Generation Company comprised its branch Abakan CHP.
Since 20 March 2009 Sosnovoborsk CHP has been given a new name Krasnoyarsk CHP-4 according to the decision of the Board of Directors of JSC “Yenisei Territorial Generating Company (TGC-13)” (Minutes ¹15/09 of 6 March 2009)
October 12, 2006 – the Board of Directors of OJSC Khakass Generation Company approved the decisions and the prospectus of an additional share issue;
November 28, 2006 – the Federal Service on Financial Markets of the Russian Federation registered the additional issue and the prospectus of securities (notice of the state registration of additional issue of securities and the prospectus of securities of OJSC Khakass Generation Company from November 30th 2006. ¹06-WG-03/19655).
December 06, 2006 – OJSC RAO UES of Russia Management Board meeting (an extract from the OJSC RAO UES of Russia” Management Board decision 1581 min/1 from December 6th.2006) took place, approving the new Board of Directors of OJSC Khakass Generation Company and adopting the new wording of the OJSC Khakass Generation Company Charter:
• The Company changed its name from OJSC Khakass Generation Company to OJSC Yenisei Territorial Generation Company (TGC-13), otherwise to be known as OJSC Yenisei ÒGK (ÒGK-13).
• Changes were made in the location of the Company, withy its new address being 660021, Krasnoyarsk, Bograda Street, 144A.
• The number of members of the Board of Directors changed from 5 to 11 persons
• The joint executive body was introduced, the Management Board of the Company
• Changes related to the observance of Stock exchange requirements for the admittance of shares on the stock exchanges of MICEX and RTS were made.
December 31, 2006 - corporate procedures related to the merger of OJSC Krasnoyarsk Generation (certificate of entry of a record about ceasing of functioning of OJSC Krasnoyarsk Generation in the Uniform State Register of Legal Entities from December 31st.2006) and OJSC Territorial Generation Company ¹13 (certificate of entry of a record about ceasing of functioning of OJSC TGC-13 in the Uniform State Register of Legal Entities from December 31st.2006) with and into OJSC Yenisei Territorial Generation Company (ÒGK-13) (certificate on entry of a record about merger in the Uniform State Register of Legal Entities from December 31st.2006).
December, 31, 2006 - converting of shares of the merged OJSC Krasnoyarsk Generation and OJSC TGC-13 into the new OJSC Khakass Generation Company shares was carried out.
For more efficient management of the company’s activities, the OJSC is guided by the internal documents approved by the corresponding administrative bodies.
October 30, 2007 - extraordinary General Meeting of Shareholders of JSC “Yenisei TGC (TGC-13)” decided on reorganization of the Company in the form of takeover of JSC “Yenisei TGC Holding”.
July 1, 2008 JSC “Yenisei TGC Holding” dissociated from OAO “RAO UES of Russia” simultaneously merging with JSC “Yenisei TGC (TGC-13)”. The shares of the company being taken over were converted into shares of JSC “Yenisei TGC (TGC-13)”.
June 25, 2009 - Annual General Meeting of Shareholders of JSC “Yenisei TGC (TGC-13)” decided on transfer of authorities of the Company's Sole Executive Body to a management entity. The management company (Siberian Generating Company, Limited Liability Company) was created on the initiative of JSC “SUEK” for optimization of management of energy assets, improvement of managerial decisions responsiveness within the framework of a unified strategy. The contract for transfer of authorities of the Company's Sole Executive Body to a management entity between JSC “Yenisei TGC (TGC-13)” and Siberian Generating Company, LLC was concluded on 16.09.2009.
